Job title:  Legal Vice President





Primarily responsible for directing areas of the legal function of the American Guardian Group of Companies and will serve as the primary point person for day-to-day matters including, but not limited to, commercial contracts, regulatory compliance, management advice and counsel, as well as, litigation management. Responsibilities include monitoring business policies and practices to ensure best practices, client services and cost efficiencies are achieved. This individual will work in direct coordination with the General Counsel in managing the overall legal function. The Vice President of Legal should be upwardly mobile in their career and be on track to grow and assume additional responsibilities.

Required Education and Experience

  • Juris Doctorate from an accredited law school
  • A minimum of 7 years of legal experience gained through a combination of law firm and in-house experience, with experience in guiding business leaders and managing other counsel
  • Current license to practice law in at least one state with a willingness to obtain Illinois license
  • Experience in dealing with industry specific regulations and administrative agencies
  • Experience with compliance-related issues and demonstrated ability to effectively communicate and enforce compliance and legal policies and procedures
  • Experience effectively developing and implementing strategy, in partnership with outside counsel as appropriate, to address legal issues
  • Must be able to skillfully articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by business operators, managers and clients
  • Must possess mathematical aptitude and skills
  • Proven experience working collaboratively, improving productivity, making recommendations and implementing process improvements
  • Sound technical skills, analytical ability, good judgment and strong operational focus
  • Strong, pragmatic business acumen with the ability to recognize the business consequences of legal advice
  • Must be a strategic and innovative thinker who can develop and articulate a clear understanding of the organization’s strategy from all perspectives and find creative solutions to complex legal problems
  • Advanced knowledge of Microsoft Office (Outlook, Word, Excel, Power Point)

Preferred Education and Experience

  • 7 or more years of legal experience gained through a combination of law firm and inhouse experience, with experience in guiding business leaders and managing other counsel
  • 5 or more years of leadership, management and supervisory experience with increasing responsibilities
  • 2 or more years of experience in project management
  • Experience managing a litigation budget

Supervisory Responsibility

  • 1 – 3 direct reports that may expand with development and departmental growth


  • Up to 15%
  • All non-travel time spent in the corporate Warrenville, IL office

Essential Functions - General

  • Provide advice and counsel to management on a full range of legal issues, risks, and trends impacting the company’s business, including regulatory reporting and filings, financing transaction and litigation; work with the management and executive team to understand strategic initiatives and business needs to be able to provide relevant legal and business counsel
  • Must ensure compliance with all applicable laws, rules and regulations
  • Establish and influence appropriate ethical standards and legal guidance which must be considered when decisions are made
  • Advise on litigation risks of possible business decisions, providing preventive counseling with respect to the legal risks associated with business practices and developing strategy with both inside and outside counsel in response to civil litigation and regulatory inquiries; negotiate settlement agreements where appropriate and cost-effectively manage the resources required to address those matters
  • Oversee the contracts process including the negotiation and drafting of consumer, financial and commercial contracts
  • Conduct in-house training regarding relevant legal issues
  • Resourcefulness and creativity, with a strong network and ability to quickly research an issue that falls outside of immediate knowledge base
  • A team-oriented approach to work that is consistent with the company’s culture
  • Strong project management skills and focus on delivery of results

Essential Functions - Supervisory

  • Work with direct reports and refine their operating units and objectives
  • Perform general management duties such as leading daily operations, delegating, resource planning and employee training and development
  • Train, educate, assist, mentor, coach, and evaluate the performance of team to ensure staff members meet or exceed the standards, results, and responsibilities of their respective positions
  • Provide performance feedback through informal communications, goal-setting, deficiency management, conduct formal performance reviews, set expectations and measure and manage when deficiencies are recognized to develop and improve personnel and department functions
  • Appropriately addresses human resources issues, such as attendance, counseling, interpersonal conflicts in the workplace, and paycheck discrepancies; communicate with the Department Senior Vice President and/or Human Resources Manager for problem resolution as needed
  • Lead department recruiting and staffing efforts understanding business needs; conduct interviews with Human Resources
  • Build, strengthen and maintain positive business relationships by establishing rapport with internal and external personnel
  • Maintain ongoing two-way communication promoting professionalism, teamwork, positive employee morale, and outstanding customer service
  • Generate a culture of positive change and best in class customer service with outside the box thinking
  • Escalate concerns through the appropriate channels in accordance with policies and procedures
  • Minimize downtime/distractions through compliance with established support procedures
  • Track turnaround times and communicate performance to Management
  • Responsible for keeping expenditures within budgetary levels
  • Interact with Management and guests presenting a polished and professional image in all settings
  • Perform other related duties as required and assigned
